2. The Service

ConsultNow grants the Tenant a non-exclusive, non-transferable, limited right to access and use the Service for your internal business purposes, subject to these Terms.

3. Tenant and User Accounts

The Tenant is responsible for all activities under its account, including managing its Users' access and ensuring the confidentiality of all account credentials.

4. Fees, Payment, and Subscription

The Service is billed on a subscription basis. Subscriptions will automatically renew unless the Tenant cancels prior to the renewal date. All fees are non-refundable. We reserve the right to change our fees with 30 days' notice.

5. Intellectual Property Rights

Our IP: We own all rights to the Service, software, and Our Content.

Your Data: You (the Tenant) retain all ownership rights to your Tenant Data. You grant us a limited license solely to operate and provide the Service to you.

6. Acceptable Use Policy

You and your Users agree not to use the Service for any illegal, harmful, or infringing activities, nor to reverse engineer or transmit malicious software.

7. Confidentiality

We will treat your Tenant Data as confidential, and you agree to treat non-public information about our Service as confidential.

8. Term and Termination

You may terminate your subscription at the end of the current billing period. We may terminate your access for a material breach of these Terms. Upon termination, you will have 30 days to export your data before it is deleted.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND.

10. Limitation of Liability

OUR AGGREGATE LIABILITY WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE PRECEDING 12 MONTHS. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

11. Indemnification

The Tenant agrees to indemnify and hold harmless ConsultNow from any claims arising from your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

13. General Provisions

These Terms, along with our Privacy Policy, constitute the entire agreement. We may modify these Terms with 30 days' notice.
